Terms of Service

Entity: BOOKYOLO PTE. LTD. (“BookYolo,” “we,” “us,” or “our”)

These Terms of Service (“Terms”) govern your access to and use of the BookYolo websites, mobile apps, tools, features, and related services (collectively, the “Services”). Please read them carefully; by accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

For purposes of these Terms, “you” means the individual user, and if you use the Services on behalf of a company or entity, “you” also includes that entity, and you represent that you’re authorized to bind it to these Terms.

1) The Services

1.1 Inputs & Outputs

The Services let you submit or provide information, such as URLs or details of short-term rentals, hotels, hostels, resorts and any other accommodation listings, and other materials (“Input”). Our systems use artificial intelligence to generate analytical insights, summaries, and other content in response (“Output”). Input is part of “Your Content” (defined below).

You must have all permissions and rights necessary to submit Input and allow us to process it to provide the Services.

You may not use the Services to generate or publish Output in violation of any law, contract, platform terms, or third-party rights.

Outputs are machine-generated opinions and inferences, not facts or guarantees. Do not rely on Output as professional advice (e.g., legal, financial, medical).

1.2 Nature of BookYolo

BookYolo provides AI-assisted inspection and analysis of vacation-rental and hospitality listings. We are not a travel agency, booking platform, or affiliate of Airbnb, Booking.com, Expedia, Vrbo, Agoda, Hotels.com, or any online travel agency (collectively, “OTAs”). We do not broker reservations, verify host claims, or guarantee listing availability, quality, pricing, or suitability.

1.3 Data Sources & No-Scraping Statement

BookYolo itself does not engage in scraping or direct data collection from online travel agency platforms (“OTAs”).

Listing data used by the Services may be:

• submitted by users (e.g., a link and

information you provide), and/or

• datasets that are obtained from third-

party data providers.

BookYolo acts as a recipient and processor of datasets. Vendors are responsible for ensuring their datasets comply with law and third-party terms.

1.4 Eligibility

You must be 13+ to use the Services. If you are under the age of majority in your jurisdiction, you may use the Services only with a parent or legal guardian who agrees to these Terms. Children under 13 are not permitted.

2) Accounts, Subscriptions, Trials

2.1 Accounts & Security

Some features require an account. Provide accurate information, keep credentials confidential, and notify us promptly of any unauthorized use. You are responsible for activity under your account.

2.2 Paid Services

We may offer both free and paid plans. If you subscribe:

You agree to pay the listed fees and taxes (in US Dollar or in SG Dollar) and authorize us or our processor (e.g., Stripe) to charge your payment method.

We may change plan features or pricing with reasonable notice.

Unless we say otherwise or required by law, payments are non-refundable.

2.3 Renewal & Cancellation

Subscriptions auto-renew at the period shown at purchase (e.g., monthly/annual) at then-current rates until canceled. Cancel before the renewal date in your account settings to avoid future charges. After cancellation, you retain access through the end of the paid period.

2.4 Right of Withdrawal (EU/UK Users Only)

If you are a consumer residing in the European Union or the United Kingdom, you have a legal right to withdraw from your subscription within 14 days of purchase without giving any reason. To exercise this right, you must notify us (by emailing: hi@bookyolo.com) of your decision to withdraw within the 14-day period.

If you cancel within the withdrawal period, we will refund your payment in full, unless you have already started using the Services.

By using the Services during the withdrawal period, you agree that the right of withdrawal ends once the Services are fully performed, or that you will be charged for the portion used before cancellation.

This right does not affect any statutory rights you may have under applicable law.

3) Additional Offerings (If Any)

From time to time, we may offer other products or services (“Offerings,” e.g., merchandise). We may modify, discontinue, or limit quantities at any time. Pricing, descriptions, and availability are subject to change and may contain errors, which we may correct (including canceling orders placed with an erroneous price and issuing a refund).

4) Privacy

Our Privacy Policy explains how we collect, use, and share information. By using the Services, you consent to our processing consistent with that policy. (Link: https://bookyolo.com/privacy-policy)

5) Rights We Grant You & Use Restrictions

5.1 Limited License

We grant you a personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for personal, non-commercial purposes, subject to these Terms.

5.2 Restrictions

You may not:

• copy, distribute, publicly display, or create derivative works from the Services or Output (except as allowed by these Terms or applicable law);

• reverse engineer, decompile, or attempt to extract source code or underlying

models;

• remove proprietary notices or use our marks without permission;

• use bots, crawlers, or similar tools to access or collect data from the Services;

• circumvent security or interfere with operation of the Services;

• use the Services to violate law, breach contracts, or infringe rights (including

platform terms of OTAs);

• represent Output as official ratings, certifications, or endorsements;

• bulk export, resell, or otherwise commercialize Output without our written

consent.

5.3 Mobile Apps & Notifications

You’re responsible for devices, data plans, and fees. We may send service, transactional, or promotional communications (e.g., email, push, SMS as permitted) which you can control via settings, subject to important administrative messages.

5.4 Beta Features

We may offer features labeled or understood to be beta, test, or preview. These may be unstable or change without notice and are provided as-is.

6) Ownership & Your Content

6.1 Our IP

The Services (including software, models, content, design, and know-how) are owned by BookYolo or its licensors and are protected by IP laws. Except for the limited license above, no rights are granted.

6.2 Your Content (including Input)

Except for the licenses below, you retain ownership of Your Content. To operate and improve the Services, you grant BookYolo a worldwide, royalty-free, transferable, sublicensable license to host, cache, store, reproduce, process, analyze, adapt, publish, display, and distribute Your Content and related Output solely to provide, maintain, protect, and enhance the Services, comply with law, and enforce these Terms.

You represent and warrant that you have all rights to grant the foregoing license and that Your Content does not violate law or third-party rights (including OTA terms).

6.3 Feedback

If you provide suggestions, ideas, or feedback, you grant BookYolo a perpetual, worldwide, irrevocable, royalty-free license to use them without restriction or attribution.

6.4 Copyright (DMCA)

If you believe content on the Services infringes your copyright, send a notice with: (a) the work claimed infringed, (b) the material’s location, (c) your contact info, (d) a good-faith statement of unauthorized use, (e) a statement under penalty of perjury that the notice is accurate and you’re authorized to act, and (f) your signature. We may remove content and, where appropriate, terminate repeat infringers. Counter-notices may be submitted as allowed by law.

7) Third-Party Content & Links

The Services may include third-party content, models, datasets, or links. BookYolo does not control or endorse third-party materials and is not responsible for their accuracy, availability, legality, or security. Your use of third-party materials is at your own risk and may be subject to additional terms.

8) Disclaimers & Liability

8.1 Disclaimers

Your use of the Services is at your sole risk. The Services and all Output are provided “AS IS” and “AS AVAILABLE.” To the maximum extent permitted by law, BookYolo disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, availability, and error-free operation.

You understand and agree that Output may be incomplete, incorrect, biased, or outdated. BookYolo does not verify host claims or listing details. Do not treat Output as professional advice or as a substitute for your own judgment. If you choose to rely on Output, you do so solely at your own risk.

Some jurisdictions do not allow certain warranty limitations; some disclaimers may not apply to you.

8.2 Limitation of Liability

To the fullest extent permitted by law:

No consequential or special damages: BookYolo will not be liable for any indirect, incidental, consequential, exemplary, special, or punitive damages (including lost profits, lost data, business interruption, reputational harm).

Cap on damages: BookYolo’s total liability arising out of or relating to the Services will not exceed the amounts you paid to BookYolo for the Services in the six (6) months preceding the claim.

These limits apply regardless of the legal theory and even if a remedy fails its essential purpose.

Some jurisdictions do not allow certain limitations; parts of this section may not apply.

No Indemnity Clause: Consistent with your instruction, these Terms do not require you to indemnify BookYolo. However, you remain responsible for your own actions and compliance with law and third-party terms.

9) Dispute Resolution; Arbitration; Class Waiver

9.1 Informal Resolution First

Before starting arbitration or litigation, you and BookYolo agree to try to resolve disputes informally by sending written notice and allowing 30 days for a response.

9.2 Binding Individual Arbitration

Except for the exceptions listed in Section 9.3, any dispute, controversy, or claim arising out of or relating to these Terms or the Services will be finally resolved by binding arbitration.

Arbitration Rules: The arbitration will be conducted in accordance with the Singapore International Arbitration Centre (“SIAC”) Rules in force when the Notice of Arbitration is submitted, which are deemed incorporated by reference into this clause.

Seat of Arbitration: The legal seat (place) of arbitration shall be Singapore.

Language: The proceedings shall be conducted in English.

Arbitrator: The tribunal shall consist of a sole arbitrator appointed in accordance with the SIAC Rules.

Governing Law: This agreement to arbitrate is governed by the Singapore Arbitration Act (Cap. 10) and, where applicable, the International Arbitration Act (Cap. 143A)

9.3 Exceptions

The following disputes are not subject to mandatory arbitration and may be brought in a court of competent jurisdiction in Singapore:

Small-claims actions brought on an individual basis that fall within the jurisdiction of the Singapore Small Claims Tribunals (or any equivalent forum for low-value disputes);

Claims seeking injunctive relief (including urgent interim relief before an arbitral tribunal is constituted); and

Intellectual property disputes, including claims relating to copyright, trademarks, or misuse of confidential information.

9.4 Class Action Waiver

No class or representative actions. The arbitrator may not consolidate claims or preside over any form of class or representative proceeding. If a court finds this waiver unenforceable as to a particular claim, that claim must proceed in court, not arbitration.

9.5 Costs & Fees

Arbitration fees will be allocated as required by applicable rules. The arbitrator may award fees and costs to the extent permitted by law.

9.6 Opt-Out

You may opt out of mandatory arbitration within 30 days of first accepting these Terms by sending an email to legal@bookyolo.com with your name, the email tied to your account, and a clear statement that you opt out of arbitration. If you opt out, this Section 9 (other than the class waiver if separately enforceable) will not apply.

10) Communications; Messaging

By using the Services, you may receive operational or promotional communications (email, in-app, push, or SMS where permitted). You can opt out of promotional messages as described in those communications. Operational or transactional messages are necessary for the Services.

11) Changes to the Services or Terms

We may modify or discontinue parts of the Services at any time without liability. We may update these Terms periodically. We will post the updated Terms with a “Last updated” date and, if changes are material, we’ll use reasonable efforts to provide notice. Continued use after the effective date constitutes acceptance.

12) Termination

We may suspend or terminate your access (and/or delete or disable your account) for violations of these Terms or where required by law. Provisions that by their nature should survive termination will survive (e.g., licenses granted to BookYolo (for the duration needed to operate the Services), disclaimers, limitations of liability, arbitration, and ownership provisions).

13) Export & Sanctions

You agree not to export, re-export, or transfer the Services except as authorized by applicable law, including U.S. export control and sanctions laws.

14) Force Majeure

We are not liable for delay or failure caused by events beyond our reasonable control (e.g., outages, labor disputes, acts of God, or governmental actions).

15) Hosting, Data Storage & Transfers

Infrastructure: The Services are hosted on third-party cloud infrastructure providers (such as Amazon Web Services, Vercel, Google Cloud Platform, or equivalent providers). BookYolo does not operate its own data centers.

Server Location: Data may be processed and stored in multiple jurisdictions, including but not limited to the United States, the European Union, and Singapore. By using the Services, you consent to the processing and transfer of your data to these jurisdictions, regardless of your country of residence.

Third-Party Providers: While BookYolo selects reputable hosting and infrastructure providers, we do not guarantee their uninterrupted operation. You acknowledge that downtime, outages, or service disruptions attributable to these providers are outside BookYolo’s direct control.

Security: We implement industry-standard safeguards for data stored or processed on these servers, but cannot guarantee absolute security against unauthorized access, disclosure, or loss.

16) Miscellaneous

Entire Agreement: These Terms are the entire agreement between you and BookYolo regarding the Services.

Severability: If any provision is unenforceable, the rest remain in effect.

Assignment: You may not assign these Terms without our consent; we may assign them.

No Waiver: Failure to enforce is not a waiver.

Headings: For convenience only.

Governing Law & Venue: These Terms are governed by the laws of Singapore, without regard to conflict-of-laws principles. Subject to the arbitration provisions above, the courts of Singapore shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms.

Non-Affiliation: BookYolo is not affiliated with any OTA or platform mentioned; names are used for identification only.
