Terms of Service

Entity: BOOKYOLO PTE. LTD. (“BookYolo,” “we,” “us,” or “our”)

These Terms of Service (“Terms”) govern your access to and use of BookYolo’s websites, mobile applications, tools, features, property-verification portal, and related services (collectively, the “Services”).

Please read these Terms carefully. By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

For purposes of these Terms, “you” means the individual using the Services. If you use the Services on behalf of a company, property, or other organization, “you” also includes that organization, and you represent that you are authorized to bind it to these Terms.

1) The Services

1.1 Inputs and Outputs

The Services allow you to submit or provide information, including URLs, details of short-term rentals, hotels, hostels, resorts, and other accommodation listings, questions, instructions, and other materials (“Input”).

Our systems may use artificial intelligence to generate analytical insights, summaries, recommendations, classifications, and other content in response (“Output”). Input forms part of “Your Content,” as defined below.

You must have all rights and permissions necessary to submit Input and allow BookYolo to process it for the purposes described in these Terms and our Privacy Policy.

You must not use the Services to generate, distribute, or publish Output in violation of applicable law, contractual obligations, platform terms, or third-party rights.

Outputs are machine-generated opinions and inferences, not established facts or guarantees. Outputs may be incomplete, inaccurate, biased, or outdated. They must not be treated as legal, financial, medical, safety, or other professional advice.

1.2 Nature of BookYolo

BookYolo provides AI-assisted inspection and analysis of vacation-rental and hospitality listings.

BookYolo may also offer a Property Verification service through which a person representing a hotel, vacation rental, hostel, resort, or other accommodation may submit information to demonstrate that they are authorized to manage or represent that property.

Unless expressly stated otherwise, BookYolo is not a travel agency, booking platform, merchant of record for a property, or affiliate of Airbnb, Booking.com, Expedia, Vrbo, Agoda, Hotels.com, or any other online travel agency (“OTA”).

BookYolo does not broker reservations and does not guarantee listing availability, pricing, quality, safety, suitability, ownership, licensing, regulatory compliance, or the accuracy of information supplied by a property representative.

A “Verified Property” designation means only that BookYolo reviewed the evidence submitted through its verification process and, at the time of review, determined that the applicant had reasonably demonstrated authority to manage or represent the relevant property.

It is not a certification, inspection, quality rating, guarantee, endorsement, or confirmation of legal ownership.

BookYolo may suspend, remove, or revoke a verification designation at any time if information becomes inaccurate, authority changes, a dispute arises, or BookYolo reasonably believes continued verification could mislead users or create legal, security, or operational risk.

1.3 Third-Party Information

BookYolo does not scrape websites or online travel agency platforms.

The Services may use, analyze, combine, or display information relating to properties, accommodations, locations, and travel services that is provided by users or otherwise made available through third-party sources.

BookYolo does not control third-party information and does not guarantee its accuracy, completeness, availability, or continued accessibility. Information may be incomplete, outdated, inaccurate, or subject to change.

BookYolo’s analyses, scores, inspections, alerts, and other outputs are generated independently by BookYolo and should not be understood as statements or endorsements by any third-party travel platform, property, or other third party.

1.4 Eligibility

You must be at least 13 years old to use the Services.

If you are under the age of majority in your jurisdiction, you may use the Services only with the involvement of a parent or legal guardian who agrees to these Terms. Children under 13 are not permitted to use the Services.

2) Accounts, Subscriptions, Trials, and Property Verification Billing

2.1 Accounts and Security

Some features require a BookYolo account.

You must provide accurate information, keep your credentials confidential, and notify us promptly of suspected unauthorized use. You are responsible for activity conducted through your account.

If you use the Services for a company, property, or other organization, you represent that you are authorized to act for and bind that organization in connection with the Services.

2.2 Paid Services

BookYolo may offer free and paid plans.

If you subscribe, you agree to pay the fees and applicable taxes displayed when you subscribe and authorize BookYolo and its payment processor, such as Stripe, to charge your selected payment method according to the billing terms presented to you.

Property Verification subscriptions are purchased separately for each property unless BookYolo expressly states otherwise.

The applicable price, billing interval, trial, discount, and eligibility conditions will be displayed before payment details are submitted.

Saving a payment method does not by itself cause an immediate charge where the checkout page states that billing begins only after verification approval or after an applicable trial.

BookYolo may change plan features or prices with reasonable notice. Price changes ordinarily apply from the next renewal date unless applicable law requires otherwise.

2.3 Verification Approval and Billing Start

Submitting payment details does not guarantee that a property will be approved.

BookYolo may review, approve, reject, or request additional evidence for a verification submission.

Where the checkout page states that billing begins after approval, BookYolo will not activate the paid Property Verification subscription until the property is approved.

If an eligible trial applies, the first recurring charge will occur after the trial ends unless the subscription is canceled before that date.

Promotions may be limited to a first property, a first subscription, one account, a stated redemption period, or other eligibility conditions shown at checkout.

If payment details are not successfully saved, the verification form remains incomplete, the property is not submitted for review, and the associated property dashboard is not activated.

2.4 Renewal and Cancellation

Subscriptions automatically renew for the interval displayed at purchase, such as monthly or annually, at the then-current applicable rate until canceled.

You may manage or cancel an eligible subscription through the Stripe customer portal made available from your BookYolo Property Verification dashboard or through another cancellation method provided by BookYolo.

If you cancel, access and publication benefits ordinarily remain available until the end of the current paid or trial period unless the subscription is terminated earlier because of fraud, misuse, a chargeback, legal requirements, or a breach of these Terms.

When a subscription becomes inactive, BookYolo may unpublish the enhanced property profile, including owner-supplied photographs, contact details, and offers.

The underlying verification and billing records may be retained as described in the Privacy Policy.

2.5 Refunds

Unless BookYolo states otherwise or applicable law requires otherwise, payments are non-refundable.

This provision does not limit any mandatory statutory right.

2.6 EU and UK Right of Withdrawal

If you are a consumer residing in the European Union or United Kingdom, you may have a legal right to withdraw from a subscription within 14 days of purchase.

To exercise that right, contact legal@bookyolo.com.

If you request immediate performance of the Services during the withdrawal period, you may be charged for Services supplied before withdrawal to the extent permitted by law.

This provision does not affect other mandatory statutory rights.

3) Property Verification

3.1 Eligibility and Authority

You may submit a Property Verification request only if you are the property owner or are authorized by the property owner, operator, management company, or another person with legal authority to represent the property.

You must not submit a claim for a property you do not represent.

BookYolo may request evidence such as control of an OTA listing, an official property website and email address, a temporary verification code, business contact information, or other reasonable proof.

You agree to cooperate with reasonable verification and re-verification requests.

3.2 Accuracy and Ongoing Duty to Update

You represent and warrant that all information and evidence you submit is accurate, current, complete, lawful, and not misleading.

You must promptly update or remove information that becomes inaccurate and notify BookYolo if you are no longer authorized to represent the property.

3.3 Review Decisions

BookYolo may approve, reject, place under review, suspend, or revoke a property verification in its reasonable discretion.

BookYolo may request additional evidence and may contact the property using official contact information to confirm a claim.

A rejection or revocation may occur because evidence is insufficient, inconsistent, expired, disputed, misleading, or otherwise unable to establish reasonable authority.

You may contact owners@bookyolo.com if you believe a decision was made in error.

BookYolo does not guarantee a particular review time or outcome.

3.4 Public Property Profile

After verification and subscription activation, you may be able to publish an enhanced property profile containing selected photographs, property information, official contact details, and offers.

Publication controls shown in the dashboard determine which eligible sections are intended to be public.

You authorize BookYolo to display and distribute information you mark as public across BookYolo websites, applications, listing pages, integrations, and related Services.

Previewing content in the property dashboard does not necessarily mean that it is publicly available.

3.5 Property Content and Rights

You retain ownership of content you submit, subject to the licences granted in these Terms.

You represent and warrant that:

• You created the content or have all rights, licences, permissions, and releases required to use and submit it;

• Photographs and other materials do not infringe copyright, privacy, publicity, contractual, or other third-party rights;

• Contact details may lawfully be published for the property;

• Offers are genuine, current, and accurately described; and

• Your content complies with applicable law and any relevant OTA or third-party terms.

You grant BookYolo a worldwide, non-exclusive, royalty-free, transferable, and sublicensable licence to host, store, reproduce, format, adapt for technical display, publish, display, distribute, and transmit Property Verification content for the purpose of operating, promoting, securing, and improving the Services.

This licence continues for as long as reasonably necessary to provide the Services, maintain backups, resolve disputes, comply with law, and enforce these Terms.

3.6 Offers and Direct Contact

Any discount, benefit, promotion, availability statement, booking link, or other offer supplied by a property is made by that property, not by BookYolo.

The property is solely responsible for the offer’s accuracy, availability, eligibility rules, fulfilment, customer service, taxes, legal compliance, and any resulting transaction or dispute.

BookYolo may remove an offer that is expired, misleading, unlawful, disputed, or inconsistent with these Terms.

3.7 Removal and Disputes

BookYolo may temporarily hide or remove content or verification status while investigating an ownership, authorization, intellectual-property, privacy, fraud, safety, or accuracy complaint.

BookYolo may request further documents or contact the property through independently identified official channels.

3.8 No Guarantee

Property Verification reduces the risk of unauthorized property claims but cannot eliminate it.

Users should independently evaluate a property, OTA listing, offer, and booking destination.

BookYolo is not responsible for the acts, omissions, representations, or fulfilment obligations of a property, representative, OTA, or booking provider.

4) Additional Offerings

BookYolo may occasionally offer other products or services (“Offerings”), including merchandise or promotional products.

We may modify, discontinue, or limit Offerings or quantities at any time.

Pricing, descriptions, and availability are subject to change and may contain errors. BookYolo may correct an error, including by canceling an order placed using incorrect pricing and issuing any applicable refund.

5) Privacy

Our Privacy Policy explains how we collect, use, retain, and disclose information.

By using the Services, you acknowledge the processing of information in accordance with the Privacy Policy:

6) Rights We Grant You and Use Restrictions

6.1 Limited Licence

Subject to these Terms, BookYolo grants you a personal or internal-business, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Services for their intended purpose.

Property owners and authorized representatives may use the Property Verification service in connection with the legitimate operation and promotion of properties they are authorized to represent.

No right to resell, sublicense, scrape, bulk export, or commercially exploit BookYolo’s software, data, analysis, or intellectual property is granted unless BookYolo agrees otherwise in writing.

6.2 Restrictions

You must not:

• Copy, distribute, publicly display, or create derivative works from the Services or Output, except as permitted by these Terms or applicable law;

• Reverse engineer, decompile, or attempt to extract source code, underlying models, system prompts, or other protected technical components;

• Remove proprietary notices or use BookYolo’s marks without permission;

• Use bots, crawlers, scrapers, or similar tools to access or collect information from the Services;

• Circumvent usage limits, access controls, authentication, or security measures;

• Interfere with the operation, integrity, availability, or security of the Services;

• Use the Services to violate applicable law, breach a contract, or infringe third-party rights;

• Submit a false or unauthorized property-verification claim;

• Represent an Output as an official rating, certification, inspection, guarantee, or endorsement;

• Bulk export, resell, sublicense, or otherwise commercialize Output without BookYolo’s written consent; or

• Use the Services in a manner that could mislead travelers, properties, partners, or the public.

6.3 Mobile Applications and Notifications

You are responsible for your devices, internet connections, data plans, and associated fees.

BookYolo may send service, transactional, administrative, or promotional communications through email, push notifications, SMS where permitted, or other available channels.

You may control eligible communications through your settings or the instructions contained in a message. You may not be able to opt out of essential administrative, billing, verification, security, or transactional communications while using the relevant Services.

6.4 Beta Features

BookYolo may offer features identified or reasonably understood as beta, experimental, test, preview, or early-access features.

These features may be incomplete, unstable, or changed or withdrawn without notice. They are provided “as is” and may be subject to additional conditions.

7) Ownership and Your Content

7.1 BookYolo Intellectual Property

The Services, including their software, models, interfaces, content, design, trademarks, databases, analysis methods, and know-how, are owned by BookYolo or its licensors and are protected by intellectual-property laws.

Except for the limited licence expressly granted in these Terms, no right, title, or interest in the Services is granted to you.

7.2 Your Content

Except for the licences granted in these Terms, you retain ownership of Your Content.

To operate and improve the Services, you grant BookYolo a worldwide, royalty-free, transferable, and sublicensable licence to host, cache, store, reproduce, process, analyze, format, adapt for technical display, publish, display, and distribute Your Content and related Output as reasonably necessary to:

• Provide, maintain, and secure the Services;

• Operate Property Verification and public property profiles;

• Fulfil your publication choices;

• Diagnose technical issues;

• Prevent fraud and misuse;

• Improve the Services;

• Comply with applicable law; and

• Enforce these Terms.

You represent and warrant that you have all rights necessary to grant this licence and that Your Content does not violate applicable law, third-party rights, or relevant platform terms.

7.3 Feedback

If you provide suggestions, ideas, comments, or feedback, you grant BookYolo a perpetual, worldwide, irrevocable, royalty-free licence to use them without restriction, compensation, or attribution.

7.4 Copyright Complaints

If you believe content available through the Services infringes your copyright, send a notice identifying:

• The copyrighted work claimed to have been infringed;

• The allegedly infringing material and its location;

• Your contact information;

• A good-faith statement that the disputed use is unauthorized;

• A statement that the notice is accurate and that you are authorized to act; and

• Your physical or electronic signature.

BookYolo may remove disputed content and, where appropriate, terminate repeat infringers.

8) Third-Party Content and Services

The Services may include or interact with third-party content, websites, applications, payment processors, datasets, models, booking providers, OTAs, or other external services.

BookYolo does not control or endorse third-party services and is not responsible for their accuracy, availability, legality, security, content, practices, or performance.

Your use of third-party services is at your own risk and may be governed by separate terms and privacy policies.

9) Disclaimers and Liability

9.1 Disclaimers

Your use of the Services is at your sole risk.

The Services and all Outputs are provided “AS IS” and “AS AVAILABLE.”

To the maximum extent permitted by law, BookYolo disclaims all express or implied warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, availability, and error-free operation.

Outputs may be incomplete, incorrect, biased, or outdated. BookYolo does not independently verify every host claim, property statement, OTA listing, review, photograph, offer, or booking link.

A Verified Property designation is not a guarantee that a property, representative, listing, offer, or booking destination is legitimate, safe, accurate, suitable, legally compliant, or free from disputes.

You must use your own judgment and independently verify information before making a booking, payment, travel, safety, business, or legal decision.

Some jurisdictions do not permit certain warranty exclusions. In those jurisdictions, some exclusions may not apply to you.

9.2 Limitation of Liability

To the fullest extent permitted by law, BookYolo will not be liable for indirect, incidental, consequential, exemplary, special, or punitive damages, including lost profits, lost revenue, lost data, business interruption, reputational harm, travel costs, booking losses, or replacement accommodation costs.

To the fullest extent permitted by law, BookYolo’s total aggregate liability arising from or relating to the Services or these Terms will not exceed the amount you paid to BookYolo for the applicable Services during the six months immediately preceding the event giving rise to the claim.

These limitations apply regardless of the legal theory and even if a remedy fails its essential purpose.

Some jurisdictions do not permit certain liability limitations. In those jurisdictions, the limitations apply only to the maximum extent permitted by law.

You remain responsible for your actions, Your Content, your property claims, your offers, and your compliance with applicable law and relevant third-party terms.

10) Dispute Resolution, Arbitration, and Class Waiver

10.1 Informal Resolution

Before commencing arbitration or litigation, you and BookYolo agree to attempt to resolve the dispute informally by providing written notice and allowing the other party 30 days to respond.

10.2 Binding Individual Arbitration

Except for the matters identified in Section 10.3, any dispute, controversy, or claim arising from or relating to these Terms or the Services will be finally resolved by binding arbitration.

The arbitration will be conducted under the Singapore International Arbitration Centre (“SIAC”) Rules in force when the Notice of Arbitration is submitted. Those rules are incorporated into this clause by reference.

The legal seat of arbitration will be Singapore.

The proceedings will be conducted in English.

The tribunal will consist of one arbitrator appointed in accordance with the SIAC Rules.

This arbitration agreement is governed by the applicable laws of Singapore, including the Singapore Arbitration Act and, where applicable, the International Arbitration Act.

10.3 Exceptions

The following matters are not subject to mandatory arbitration and may be brought before a court of competent jurisdiction in Singapore:

• An individual small-claims action within the jurisdiction of the Singapore Small Claims Tribunals or an equivalent eligible forum;

• A claim seeking urgent or interim injunctive relief; and

• An intellectual-property dispute, including a claim relating to copyright, trademarks, confidential information, or unauthorized use of proprietary materials.

10.4 Class Action Waiver

Disputes must be brought individually and not as part of a class, collective, consolidated, or representative action.

The arbitrator may not consolidate claims or preside over a class or representative proceeding.

If a court determines that this waiver is unenforceable for a particular claim, that claim must proceed in court rather than arbitration.

10.5 Costs and Fees

Arbitration fees will be allocated as required by the applicable SIAC Rules and applicable law.

The arbitrator may award costs and fees to the extent permitted by law.

10.6 Arbitration Opt-Out

You may opt out of mandatory arbitration within 30 days after first accepting these Terms.

To opt out, email legal@bookyolo.com with:

• Your name;

• The email address associated with your account; and

• A clear statement that you are opting out of arbitration.

If you validly opt out, this Section 10 will not apply to you, except for any independently enforceable class-action waiver.

11) Communications and Messaging

By using the Services, you may receive operational, transactional, administrative, billing, verification, or promotional communications.

You may opt out of promotional communications using the instructions provided in those communications. Operational and transactional messages may be necessary to provide the Services.

12) Changes to the Services or Terms

BookYolo may modify, suspend, or discontinue parts of the Services at any time.

We may update these Terms periodically. We will post the revised Terms and update the “Last updated” date.

If a change is material, we will use reasonable efforts to provide additional notice where required or appropriate.

Your continued use of the Services after the effective date of revised Terms constitutes acceptance of those Terms.

13) Suspension and Termination

BookYolo may suspend, restrict, or terminate your access to the Services if:

• You breach these Terms;

• Your activity presents a fraud, safety, security, legal, reputational, or operational risk;

• A payment is reversed, disputed, or remains unpaid;

• Your authority to represent a property is disputed or ends;

• A property-verification claim is false, misleading, or unsupported; or

• Suspension or termination is required by law.

BookYolo may also remove or disable an account, property profile, verification designation, public photograph, contact detail, offer, or other content where reasonably necessary.

Provisions that by their nature should survive termination will survive, including ownership provisions, licences required for retained records and backups, disclaimers, liability limitations, dispute-resolution provisions, and enforcement rights.

14) Export Controls and Sanctions

You must not export, re-export, transfer, provide, or use the Services in violation of applicable export-control, trade-control, or sanctions laws.

You represent that you are not prohibited from using the Services under applicable sanctions or trade restrictions.

15) Force Majeure

BookYolo is not liable for delay, interruption, or failure caused by circumstances beyond its reasonable control, including infrastructure outages, internet failures, cyberattacks, natural disasters, labour disputes, governmental actions, public-health emergencies, or failures of third-party providers.

16) Hosting, Data Storage, and Transfers

16.1 Infrastructure

The Services are hosted using third-party cloud and infrastructure providers, which may include Amazon Web Services, Vercel, Supabase, Google Cloud Platform, or equivalent providers.

BookYolo does not operate its own data centres.

16.2 Processing Locations

Information may be processed and stored in Singapore, the United States, the European Union, and other jurisdictions where BookYolo or its providers operate.

International transfers are handled as described in our Privacy Policy and subject to applicable legal safeguards.

16.3 Third-Party Providers

BookYolo selects service providers intended to support reliable and secure operation, but it does not guarantee their uninterrupted availability.

Downtime or disruption caused by third-party infrastructure may be outside BookYolo’s direct control.

16.4 Security

BookYolo implements safeguards intended to protect information processed through the Services.

No security measure, transmission method, or storage system can be guaranteed to be completely secure. You are responsible for protecting your credentials and promptly reporting suspected unauthorized access.

17) Miscellaneous

17.1 Entire Agreement

These Terms, together with any incorporated policies and purchase-specific conditions, constitute the entire agreement between you and BookYolo concerning the Services.

17.2 Severability

If any provision is found unenforceable, the remaining provisions will continue in effect.

17.3 Assignment

You may not assign or transfer these Terms without BookYolo’s written consent.

BookYolo may assign or transfer these Terms in connection with a corporate reorganization, financing, merger, acquisition, sale of assets, or similar transaction.

17.4 No Waiver

BookYolo’s failure to enforce a provision is not a waiver of its right to enforce that provision later.

17.5 Headings

Headings are provided for convenience and do not affect interpretation.

17.6 Governing Law and Venue

These Terms are governed by the laws of Singapore, without regard to conflict-of-laws principles.

Subject to Section 10, the courts of Singapore have exclusive jurisdiction over disputes arising from or relating to these Terms or the Services.

17.7 Non-Affiliation

BookYolo is not affiliated with any OTA, booking platform, accommodation provider, or other third party mentioned through the Services unless BookYolo expressly states otherwise.

Third-party names and trademarks are used for identification purposes only.
